Terms of Service

These Terms of Service ("Terms") govern your use of all applications and services provided by Brightwing Systems, LLC ("we," "us," or "our"). By using any of our services, you agree to these Terms.

Covered Services

These Terms apply to all Brightwing Systems products, including:

1. Eligibility

You must be at least 13 years old to use our services. By using any of our services, you represent and warrant that you meet this age requirement. If you are under 18, you represent that you have your parent's or legal guardian's permission to use the services.

2. Service Description

Brightwing Systems provides a suite of AI-native SaaS tools and developer services. Deplixo is a web application hosting platform that allows users to deploy HTML, CSS, and JavaScript applications and receive a live URL instantly. Apps can be deployed without authentication through AI integrations (MCP server) or the paste site. We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice. We do not guarantee any specific uptime percentage or level of availability.

3. Accounts

Some of our services require you to create an account; others (such as Deplixo) allow use without one. If you create an account, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate and complete registration information
• Notify us immediately of any unauthorized use of your account
• Not share your account credentials with others or create accounts on behalf of others without authorization

4. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose or in violation of any applicable laws or regulations
• Deploy apps that contain malware, phishing pages, or other harmful or deceptive content
• Attempt to gain unauthorized access to any part of our services or their related systems
• Interfere with or disrupt the integrity or performance of our services
• Upload or transmit viruses, malware, or other harmful code designed to damage our services or their infrastructure
• Use our services to infringe on the intellectual property rights of others
• Use our services to harm, harass, or threaten others
• Resell access to our services without written authorization

Deplixo-Specific Use Policies

Apps deployed on Deplixo must not:

• Host illegal content or facilitate illegal activity
• Distribute malware or phishing pages
• Impersonate other people or organizations
• Consume excessive platform resources in a way that degrades service for others
• Store sensitive personal data (medical records, financial account numbers, government IDs) without appropriate security measures

We reserve the right to remove or disable any deployed app that violates these policies, with or without notice.

5. API and MCP Server Usage

Several of our services provide programmatic access through public APIs and MCP (Model Context Protocol) servers for integration with AI assistants. By using our APIs or MCP servers, you agree to:

• Use only the official API and MCP server endpoints for automated or programmatic access
• Not exceed reasonable usage limits; we reserve the right to throttle or block requests that constitute abuse or place excessive load on our services
• Not scrape, crawl, or use automated means to access our services outside of official APIs and MCP servers
• Accept that API and MCP server availability is provided on the same "as is" basis as the rest of our services

6. Your Content and AI-Generated Content

You retain ownership of all content you create, upload, or store through our services. By using our services, you grant us a limited license to host, serve, and display your content as necessary to operate the services. You are solely responsible for the content you submit, including ensuring it does not violate any laws or third-party rights.

Deplixo: Apps you deploy are hosted publicly at their assigned URL. You are responsible for ensuring your deployed apps comply with applicable laws and do not infringe on others' rights.

AI-generated content: If you deploy code or content that was generated or assisted by an AI tool (such as Claude, ChatGPT, or any other AI assistant), you are solely responsible for reviewing that code and ensuring it is accurate, safe, functional, and does not violate any laws or third-party rights. We are not responsible for the accuracy, safety, quality, or legality of AI-generated content used through our services.

We reserve the right to remove any content that violates these Terms or that we determine, in our sole discretion, to be harmful or inappropriate. See our Privacy Policy for more details on data handling.

7. Copyright and DMCA

We respect the intellectual property rights of others. If you believe that content hosted on any of our services infringes your copyright, you may submit a takedown notice to our designated agent at hello@brightwingsystems.com with the following information:

• Identification of the copyrighted work you claim has been infringed
• Identification of the material on the service that you claim is infringing, with enough detail for us to locate it (e.g., the app URL or page)
• Your contact information (name, address, email, phone number)
• A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law
• A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on their behalf
• Your physical or electronic signature

We will respond to valid takedown notices and may remove or disable access to the allegedly infringing content. Repeat infringers may have their access to our services terminated.

8. Free and Paid Tiers

Our services offer both free and paid tiers. Specific terms vary by product:

• Subscription services (AI Cost Manager, AI Prompt Bucket, ConfigPig, PatchworkMCP): Billed on a recurring basis as described on each product's pricing page. You may cancel at any time; your service continues through the end of the current billing period.
• Deplixo: Free tier apps are subject to a 30-day expiration period and include a Deplixo footer. Paid app launches ($3 one-time) offer permanent hosting, custom URL slugs, footer removal, and extended retention. Credit packs for AI, email, and platform features are available as one-time purchases and never expire.
• Free tiers and trials: Some services offer free tiers or trial periods. We reserve the right to modify or discontinue free offerings at any time.

All prices are in US dollars. Payments are processed securely through Stripe. You agree to provide accurate billing information and authorize us to charge your payment method for the amounts due. One-time purchases are non-refundable once the service has been delivered, except where required by law.

9. Service Availability

We strive to keep our services available and reliable, but we do not guarantee uninterrupted access. Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damage resulting from service interruptions.

10. Data & Privacy

Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using our services, you consent to the data practices described in the Privacy Policy.

11. Intellectual Property

All Brightwing Systems branding, logos, software, documentation, and service designs are our intellectual property or used under license. You may not copy, modify, distribute, reverse-engineer, or create derivative works of our proprietary materials without written permission.

Open-source components (MCP Manager, MCP Score CLI, AITokenPricer) are governed by their respective open-source licenses as published in their repositories.

12. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or completely secure. We make no representations or warranties regarding the accuracy, reliability, or completeness of any content deployed by users, including AI-generated content.

13. Limitation of Liability

To the maximum extent permitted by law, Brightwing Systems, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or revenue, whether incurred directly or indirectly, arising out of or related to your use of our services.

Our total liability for any claim arising from or related to these Terms or your use of our services shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless Brightwing Systems, LLC, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.

15. Termination

You may stop using our services and close your account at any time. We may suspend or terminate your access to our services, or remove any deployed apps, at any time for violation of these Terms or for any other reason with reasonable notice. You may terminate your account at any time by contacting us. Upon termination:

• Your right to use the services ceases immediately
• We may delete your data in accordance with our Privacy Policy (typically within 30 days)
• Provisions regarding intellectual property, limitation of liability, indemnification, and dispute resolution survive termination

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law provisions.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of our services after changes take effect constitutes acceptance of the revised Terms.
